Terms & Conditions
These Terms & Conditions govern the relationship between Honeypot Marketing Ltd (“we”, “us”, “our”) and each client (“you”, “your”) who engages our digital marketing and creative services. By commissioning work from us, you agree to these terms.
All client engagements operate under bespoke contracts tailored to each client. Our general terms below apply as a foundation; individual agreements take precedence where they differ.
Services We Provide
Honeypot Marketing Ltd provides the following digital services:
- Digital marketing strategy and consultancy
- Social media management and content creation
- Paid advertising (PPC, Meta Ads, Google Ads)
- Search engine optimisation (SEO) and content marketing
- Email marketing campaign management
- Brand identity and creative design
- Website strategy and copywriting
The exact scope of services is defined in each client’s individual service agreement prior to any work commencing.
Bespoke Client Contracts
We do not use standardised, one-size-fits-all contracts. Every client receives a bespoke service agreement tailored to their specific requirements. No work commences until both parties have reviewed and signed the agreement.
What bespoke contracts cover:
- Scope of services and deliverables
- Project timelines and milestone schedules
- Payment terms and fee structures
- Intellectual property assignment and licensing
- Confidentiality and data protection obligations
- Revision rounds and approval processes
- Termination and cancellation conditions
Payment Terms
Payment terms are specified in each client’s individual contract. Typically, retainer fees are invoiced monthly in advance and project fees may be structured across milestones. We accept bank transfer (BACS), card payment, and international transfers.
Intellectual Property
Upon full payment of all agreed fees, intellectual property rights for bespoke client deliverables transfer to the client as specified in the individual contract. Honeypot Marketing Ltd retains the right to reference completed work in our portfolio unless the client requests otherwise in writing.
Limitation of Liability
Our total liability to any client shall not exceed the fees paid for the specific services giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit damages.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Refund Policy
As a digital services agency operating on bespoke client contracts, refund terms are defined within each individual client agreement. The principles below apply across all our engagements.
All refund conditions are clearly stated in each client’s signed contract before any payment is made.
Nature of Digital Services
Our services are digital and intellectual in nature โ strategy, creative direction, written content, campaign management, and consultancy. We do not sell or ship physical goods. Standard physical product return and delivery policies do not apply to our business model.
General Refund Principles
Deposits and retainers
Deposits or retainer fees paid to initiate a project are non-refundable, as they secure dedicated time and resource allocation for the client’s project.
Work in progress
Where a client terminates an engagement mid-project, fees for completed work and time already committed are non-refundable. Advance payments for uncompleted future work are reviewed on a case-by-case basis as specified in the individual contract.
Dissatisfaction with deliverables
If a deliverable does not meet the agreed brief, we will revise it within the agreed revision rounds at no additional cost. We prefer to resolve concerns through revision. If resolution is not achievable, a partial refund may be considered at our discretion.
Inability to deliver
If Honeypot Marketing Ltd is unable to deliver agreed services due to circumstances on our part, a proportional refund for undelivered work will be provided as agreed in the client contract.
How to Request a Refund
Contact us at hello@honeypotmarketing.uk with your project reference and reason for the request. All requests are handled under the terms of your individual client agreement and responded to within 5 working days.
Cancellation Policy
Cancellation terms at Honeypot Marketing Ltd are defined within each client’s individual contract, reflecting the specific scope and resource commitments of each engagement. The principles below apply generally across all engagements.
All cancellation terms specific to your project are clearly stated in your signed contract before any work begins.
Project-Based Engagements
For one-off or fixed-scope projects, cancellation after work has commenced will typically result in:
- Payment for all work completed up to the cancellation date
- Forfeiture of any non-refundable deposit
- Transfer of completed deliverables to the client upon settlement of outstanding fees
Cancellation before work commences may be eligible for a deposit return, subject to the individual contract terms.
Retainer & Ongoing Engagements
Notice period
Clients are typically required to provide 30 days’ written notice to cancel an ongoing retainer. The exact notice period is specified in the client contract.
During the notice period
Full retainer fees continue to apply and services continue to be delivered as normal throughout the notice period.
Immediate termination
Either party may terminate the agreement immediately in the event of a material breach, as specified in the individual contract.
How to Cancel
All cancellation requests must be submitted in writing to hello@honeypotmarketing.uk. The notice period begins from the date we confirm receipt of your written cancellation request.
Before cancelling, please reach out โ we may be able to pause, scale down, or restructure your engagement to better suit your current situation.
Delivery Policy
Honeypot Marketing Ltd delivers exclusively digital services and intellectual outputs. We do not sell, stock, or ship physical goods. Traditional delivery and shipping policies therefore do not apply to our business model.
All deliverables are digital in nature. Specific timelines, formats, and delivery methods are agreed in each client’s bespoke contract before work begins.
What We Deliver
Our deliverables are entirely digital and may include:
- Strategic documents, reports, and presentations (PDF, Google Slides, etc.)
- Written content, copy, and editorial assets
- Creative assets including graphics, brand files, and templates
- Campaign setups, ad account configurations, and live management
- Performance reports and analytics summaries
- Consultancy time and strategic advisory sessions
How Delivery Works
Delivery method
Digital deliverables are shared via agreed channels โ typically email, Google Drive, Dropbox, or a client-shared workspace. The preferred method is confirmed with each client upfront in their contract.
Timelines
Project timelines and milestone delivery dates are set out in each client’s individual contract. We communicate proactively if any delays arise on our side.
Review and approval
Clients receive a defined review period to provide feedback within the agreed revision rounds. Feedback should be provided in writing via the agreed communication channel.
Delays & Dependencies
Project timelines may be impacted by delays in receiving required materials from clients โ brand assets, copy inputs, access credentials, or approvals. We will flag outstanding dependencies promptly and adjust timelines accordingly.
We are not liable for delays caused by third-party platforms, tools, or services outside our control.
